IQnition Terms of Service

1. Agreement and Scope

These Terms of Service (the “Terms”) form a binding agreement between you and Prompt Xchange LLC, doing business as IQnition, governing access to and use of IQnition’s websites, mobile applications, APIs, AI tutoring, AI problem-solving, quiz, study plan, analytics, parent dashboard, and related services (collectively, the “Service”).

By creating an account, starting a trial, purchasing a subscription, creating a child profile, issuing a device code, or using the Service, you agree to these Terms and acknowledge the Privacy Notice, which is incorporated by reference.

Guardians accept for minors. If you are a parent or legal guardian (“Guardian”) who creates a family account, adds a student, creates a child profile, or issues a device code, you accept these Terms on your own behalf and on behalf of each minor you authorize to use the Service, and you are responsible for their use of the Service.

Only an adult (18 or older, or the age of majority in your province or state) may create an account, accept these Terms directly, start a trial, or purchase a subscription.

You may not use the Service if you have been previously terminated for material misuse, or if use is prohibited by applicable law or sanctions.

3. Accounts, Family Plans, and Device Codes

You must provide accurate registration information (including accurate dates of birth), maintain current contact and billing details, protect credentials, and promptly report suspected unauthorized access.

Guardians administer the family account: they create and remove student and child profiles, issue and revoke device codes, manage the subscription, and can view each minor’s study activity, progress, quiz results, session information, and safety alerts through the parent dashboard and in-app inbox. By using the Service, students and children acknowledge this Guardian visibility.

Device codes are credentials. Guardians and children must keep them confidential, must not share them outside the family, and must promptly ask us to reset a code that may be compromised. Seats are limited by plan (see Section 10); profiles and device codes may not be shared among multiple learners or sold or transferred.

You are responsible for activity under your account and profiles, except activity resulting from our failure to maintain reasonable safeguards.

4. The Service

IQnition provides an AI-powered study companion, which may include Socratic AI tutoring sessions, a guided AI problem solver, adaptive quizzes with scoring and mastery tracking, AI-generated study plans, progress analytics and achievements, a parent dashboard, and in-app parental notifications.

Features, session limits, quiz limits, active study plan limits, seats, analytics depth, and support vary by plan. Descriptions such as “unlimited” are subject to the fair-use and anti-abuse provisions of these Terms.

IQnition is a technology provider. IQnition is not a school, licensed teacher, certified tutor, testing service, therapist, physician, or emergency service, and does not award grades, credits, or credentials. Use of the Service does not create an educational, custodial, fiduciary, medical, or professional relationship.

5. AI Features and Output Limitations

The Service uses large language models and other automated systems (including third-party AI providers) to generate tutoring responses, explanations, quizzes, and study plans. AI output is probabilistic and may be inaccurate, incomplete, outdated, biased, or unsuitable for a particular student, curriculum, or assignment. The Service discloses within the product that tutoring responses are AI-generated and not human.

You must not rely on AI output as authoritative for graded work, standardized-test preparation decisions, course selection, or any consequential academic decision without independent verification. IQnition does not guarantee grades, test scores, admission outcomes, mastery, learning outcomes, or alignment with any specific curriculum, standard, or exam.

The Service is not designed to provide, and must not be used for, medical, psychological, legal, financial, or safety-critical advice.

5.1 Safety Features Are Not Emergency Services

The Service includes automated safety features for minors — including screening for indications of self-harm, violence, and age-inappropriate content, crisis-resource referrals (including the 988 Suicide & Crisis Lifeline in the U.S.), break reminders, and Guardian alerts. These features are automated, keyword- and model-based, and will not detect every concerning situation, and may generate false alerts. They are not a substitute for adult supervision, professional mental-health care, or emergency services. If you believe a child is in danger, contact emergency services immediately. Guardians remain responsible for monitoring their child’s wellbeing.

6. Academic Integrity

The tutor is designed to teach through guided questioning rather than simply supplying answers. You are responsible for using the Service consistently with your school’s, district’s, teacher’s, and testing body’s academic-integrity rules. You may not use the Service to complete an exam, submit AI output as your own work where prohibited, or otherwise violate an academic-honesty policy. IQnition is not responsible for academic consequences arising from a student’s misuse of the Service.

7. User Content and Processing License

“User Content” includes questions, messages, problems, quiz answers, study preferences, profile details, feedback, and other material submitted to the Service by you or a learner on your account.

As between the parties, you (or the learner, as applicable) retain ownership of User Content. You grant IQnition a worldwide, non-exclusive, royalty-free license to host, copy, transmit, process, and display User Content only as reasonably necessary to provide, secure, support, and improve the Service; comply with law; operate the safety features described in Section 5.1; and enforce these Terms.

Model-Training Limitation. IQnition does not use identifiable User Content — including tutoring conversations, quiz responses, and study plans — to train, fine-tune, or improve general-purpose or foundation AI models, and seeks contractual commitments from its AI providers restricting them from doing so. Any program involving identifiable User Content for training or evaluation requires separate, affirmative, written opt-in from the Guardian (or user 18+). The “improve the Service” rights above are limited accordingly. IQnition may use aggregated and de-identified information that is not reasonably linkable to a person to measure performance, improve reliability, develop features, and conduct research.

You represent that User Content you submit does not violate the rights of others or applicable law.

8. Generated Output

Subject to these Terms, IQnition grants you a non-exclusive, royalty-free license to use, reproduce, and share the tutoring explanations, quizzes, and study plans generated for you, for personal, educational, non-commercial purposes.

IQnition does not transfer ownership of the underlying Service, models, prompts, question banks, templates, software, or other IQnition or third-party materials. Generated content may resemble content generated for others and may not be unique.

9. Acceptable Use

You may not use or attempt to use the Service to:

Violations by a learner on your account are attributable to the account. IQnition may remove content, restrict features, or suspend or terminate access for violations (see Section 13).

10. Subscriptions, Billing, and Cancellation

10.1 Plans and Trials

IQnition offers a free tier and paid subscriptions. Current plans are described at checkout and on the pricing page; as of the Last Updated date they include a FREE tier (limited tutor sessions, quizzes, and study plans), Student (single learner), Family Lite (single learner plus parent dashboard), and Family Pro (up to three learners plus parent dashboard), each billed monthly or as otherwise disclosed at checkout. The price, billing interval, seat count, limits, and trial terms shown at checkout control. Paid plans may include a free trial (currently 7 days); a payment method may be required, and the subscription begins and the first charge occurs automatically when the trial ends unless you cancel before then.

10.2 Automatic Renewal and Cancellation

Paid subscriptions automatically renew for the disclosed billing period unless canceled before the renewal date. You may cancel at any time through account settings (Manage Subscription, which opens our payment provider’s customer portal) or by contacting support@iqnition.ai. Cancellation takes effect at the end of the then-current paid billing period unless applicable law requires otherwise. Deleting the app or stopping use does not by itself cancel a subscription. Where required by law (including certain U.S. state automatic-renewal laws), we provide renewal reminders and online cancellation at least as easy as signup.

10.3 Effect of Cancellation

After cancellation, paid features remain available through the end of the paid billing period, after which the account reverts to the FREE tier and its limits. Study plans, progress data, and history remain available subject to FREE-tier limits and the retention terms of the Privacy Notice. Account deletion is a separate action available in settings or by request.

10.4 Refunds

Except as stated below or required by applicable law, subscription fees are non-refundable, and we do not provide refunds or credits for partially used billing periods or unused features. First-time subscribers may request a refund within 7 calendar days of the initial charge if paid features have not been materially used. We will ordinarily provide a courtesy refund of an automatic renewal charge requested within 5 calendar days of a monthly renewal (7 days for annual) where the Service was not materially used after renewal, limited to one such refund per account in any 12-month period. We will correct confirmed duplicate charges and billing errors. Nothing in this Section limits a refund, cancellation, cooling-off, or other right that cannot lawfully be waived, including under provincial consumer-protection legislation in Canada.

10.5 Price Changes and Taxes

We may change prices with advance notice; changes apply from the next billing period after notice. Prices may exclude taxes, which are charged where applicable. Payments are processed by Stripe; we do not store full payment-card numbers.

10.6 Usage Limits

Plan limits (such as tutor sessions per day, quiz attempts per week, active study plans, and seats) are contractual usage entitlements, not money or stored value, have no cash value, and may not be sold or transferred. We may enforce fair-use limits on “unlimited” features to prevent abuse, automation, or resale.

11. Third-Party Services and App Stores

The Service depends on third-party providers, including AI inference (currently OpenAI), payments (Stripe), and hosting/database infrastructure. Their availability affects the Service, and their terms may apply to their processing.

If you download the app from the Apple App Store or Google Play, the store’s terms also apply. The store is not a party to these Terms, is not responsible for the Service, and has no support or warranty obligations beyond any required by its own policies; where required, the store operator is a third-party beneficiary of these Terms with the right to enforce them against you. 12. Beta Features and Changes

Beta, preview, or early-access features may be incomplete, change without notice, and be discontinued. IQnition may add, modify, limit, suspend, or discontinue features to improve the Service, respond to law or safety concerns, manage vendors and capacity, or protect users — including modifying or removing AI capabilities. Reasonable notice will be provided when a change materially reduces a paid core feature unless urgent circumstances prevent it.

13. Suspension and Termination

You may stop using the Service, cancel a subscription, and request account deletion at any time. Guardians may delete a child’s profile at any time; child profiles cannot delete the family account.

IQnition may restrict, suspend, or terminate access if it reasonably believes a user violated these Terms, created a legal or safety risk (including risk to a minor), failed to pay, or exposed the Service or others to material liability. We will ordinarily provide notice before suspension unless the situation requires immediate action (for example, child-safety risks).

Sections that by their nature should survive termination — including intellectual-property provisions, warranty disclaimers, limitations of liability, indemnification, and dispute resolution — survive.

14. Security

IQnition uses administrative, technical, and physical safeguards designed to protect User Content and personal information, as described in the Privacy Notice. No system is completely secure. Protect your credentials and device codes and report suspected compromise promptly.

15. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, IQNITION DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, UNINTERRUPTED ACCESS, AND FREEDOM FROM ERRORS.

IQNITION DOES NOT WARRANT THAT AI-GENERATED CONTENT IS ACCURATE OR SUITABLE FOR ANY PARTICULAR CURRICULUM, ASSIGNMENT, OR EXAM; THAT USE OF THE SERVICE WILL IMPROVE GRADES, SCORES, OR LEARNING OUTCOMES; OR THAT SAFETY FEATURES WILL DETECT OR PREVENT ANY PARTICULAR HARM.

SOME JURISDICTIONS, INCLUDING CANADIAN PROVINCES AND QUEBEC IN PARTICULAR, DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS FOR CONSUMERS; IN THOSE JURISDICTIONS THE ABOVE APPLIES ONLY TO THE EXTENT PERMITTED, AND STATUTORY WARRANTIES ARE PRESERVED.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IQNITION AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST DATA, LOST OPPORTUNITIES, OR ACADEMIC CONSEQUENCES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS.

IQNITION’S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID IQNITION IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR ONE HUNDRED U.S. DOLLARS ($100).

THESE LIMITATIONS APPLY REGARDLESS OF LEGAL THEORY AND EVEN IF IQNITION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THEY DO NOT LIMIT LIABILITY THAT CANNOT LAWFULLY BE LIMITED, INCLUDING LIABILITY FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT WHERE NON-EXCLUDABLE, AND DO NOT LIMIT NON-WAIVABLE CONSUMER RIGHTS.

17. Indemnification

To the extent permitted by applicable consumer-protection law, you will indemnify and hold harmless IQnition and its affiliates, officers, employees, agents, licensors, and providers from claims, damages, and expenses (including reasonable attorneys’ fees) arising out of: (a) User Content you or your learners submit; (b) your or your learners’ violation of these Terms or applicable law; or (c) your violation of the rights of another person. This Section does not apply to claims arising from IQnition’s own breach, negligence, or misconduct, and does not require a consumer to indemnify where prohibited by law.

18. Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except that Canadian residents retain the benefit of mandatory consumer-protection laws of their province of residence.

Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single arbitrator, except that: (a) either party may bring an individual claim in small-claims court; (b) either party may seek injunctive or equitable relief in court for intellectual-property or confidentiality violations; and (c) this arbitration requirement and the class-action waiver below do not apply where they are unenforceable against you as a consumer — including for residents of Quebec and other Canadian provinces whose consumer-protection legislation prohibits mandatory arbitration or class-action waivers, in which case disputes may be brought in the courts of your province of residence.

WHERE ENFORCEABLE, YOU AND IQNITION WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. YOU MAY OPT OUT OF ARBITRATION BY EMAILING SUPPORT@IQNITION.AI WITH “ARBITRATION OPT-OUT” IN THE SUBJECT LINE WITHIN 30 DAYS OF FIRST ACCEPTING THESE TERMS.

If any provision of this Section is found unenforceable, the remaining provisions continue in full force. Nothing in this Section limits statutory rights that cannot be waived.

19. General Terms

Entire Agreement. These Terms, together with the Privacy Notice and any terms presented at checkout, constitute the entire agreement between you and IQnition regarding the Service and supersede prior agreements on the same subject.

Amendments. IQnition may update these Terms by posting a revised version and providing notice as required by law (including advance notice of material changes to Guardians). Continued use after the effective date of a change constitutes acceptance; if you do not agree, cancel and stop using the Service before the change takes effect.

Severability. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions remain in force.

No Waiver. Failure to enforce any provision is not a waiver of the right to enforce it later.

Assignment. You may not assign these Terms without IQnition’s prior written consent. IQnition may assign these Terms in connection with a merger, acquisition, or sale of assets, subject to the successor honoring them.

Feedback. If you submit suggestions or feedback, IQnition may use them without restriction or obligation.

Language. Where required for Quebec users, these Terms and related consumer documents will be made available in French. [Confirm French translation plan before Quebec launch — Quebec’s Charter of the French Language applies to consumer contracts.]
